Equity Capital Markets
We advise issuers, issue managers, underwriters, and originators on initial public offerings and listings—including reverse takeovers and dual listings—on securities exchanges in Cambodia, Indonesia, Malaysia, Singapore, and other recognised markets such as the stock exchanges of Hong Kong, Korea, and NASDAQ. We also assist with listings of real estate investment trusts (REITs) and business trusts on the Mainboard of the Singapore Exchange (SGX-ST).
We have a strong track record of acting for foreign issuers from jurisdictions including China, Japan, India, Indonesia, Taiwan, and Australia. Our experience in cross-border transactions enables us to navigate the complex regulatory frameworks across multiple listing venues.
Our Cambodian office is one of the first registered law firms in Cambodia licensed to advise companies seeking to list on the Cambodia Securities Exchange. This allows us to provide on-the-ground support and legal expertise for clients expanding into or listing in the Cambodian market.

Acted for Synagistics in a landmark de-SPAC transaction – the HK$4.03 billion business combination of Synagistics and Hong Kong Acquisition Corporation – marking Hong Kong’s first de-SPAC since the introduction of SPAC rules in 2021.
Acted for Midea Group in the largest Hong Kong IPO since 2021 – US$3.47 billion public offering of shares of Midea Group Co., Ltd. on The Stock Exchange of Hong Kong Limited.
Acted as Indonesian counsel to the Joint Lead Managers and Joint Bookrunners in the issuance of the US$2.75 billion global Sukuk comprising of US$1.1 billion 5.5-year, US$900 million 10-year, and US$750 million 30-year Reg S/144A due 2030, 2034 and 2054 respectively by the Republic of Indonesia, through Perusahaan Penerbit SBSN Indonesia III.
