Vivian is a Partner with Christopher & Lee Ong. She primarily practices in the areas of equity capital markets and mergers and acquisitions

Her equity capital market experience includes handling various Regulation S/Rule 144A initial public offerings, both within Malaysia and internationally, across jurisdictions such as Singapore, Hong Kong and New York. She is also involved in other capital market transactions, including private placements of shares, REIT units and rights issues in Malaysia.

She has been involved in transactions across diverse industries, including retail and wholesale, telecommunications, healthcare, semiconductor, e-commerce and automotive, where she advises local and international clients on industry specific regulatory and legal compliance matters.

Equity Capital Markets

  • Acted as the underwriters’ counsel on the IPO and listing of 99 Speed Mart Retail Holdings Berhad on the Main Market of Bursa Malaysia Securities Berhad.
  • Acted as the underwriters’ counsel on the IPO and listing of Mega Fortris Berhad on the Main Market of Bursa Malaysia Securities Berhad.
  • Acted as the underwriters’ counsel on the IPO and listing of Well Chip Group Berhad on the Main Market of Bursa Malaysia Securities Berhad.
  • Acted as the underwriters’ counsel on the IPO and listing of Keyfield International Berhad on the Main Market of Bursa Malaysia Securities Berhad.
  • Acted as the issuer’s counsel on the IPO and listing of CTOS Digital Berhad, the largest credit reporting agency in Malaysia, on the Main Market of Bursa Malaysia Securities Berhad.
  • Acted as the underwriters’ counsel on the IPO and listing of Aurelius Technologies Berhad on the Main Market of Bursa Malaysia Securities Berhad.
  • Acted as the underwriters’ counsel on the IPO and listing of DXN Holdings Berhad on the Main Market of Bursa Malaysia Securities Berhad.
  • Acted in several notable private placements, including RM720.0mil primary placement by Pavilion REIT, RM465.9mil primary placement by CTOS Digital Berhad and secondary sell-down by Inodes Limited, RM750.0mil rights issue for Icon Offshore Berhad and RM180.0mil primary placement by KIP REIT.

Mergers & Acquisitions

  • Acted as the counsel for Axiata Group Berhad in the USD18 billion merger between Celcom Axiata Berhad and Digi.com Berhad, being two major telecommunication companies in Malaysia then and resulting in the formation of CelcomDigi Berhad.
  • Acted as the counsel for Petronas Chemicals Group Berhad on selling a strategic stake in Petronas Chemicals Fertiliser Sabah Sdn Bhd to SMJ Sdn Bhd.
  • Acted as the counsel for Asian Finance Bank in the merger of Malaysia Building Society Berhad and Asian Finance Bank, resulting in the formation of MBSB Bank Berhad.
