Cheryl Tan is a Partner in Rajah & Tann Singapore LLP, and her areas of practice cover banking and finance, as well as debt capital markets. 

With more than a decade of experience, Cheryl is a dynamic and responsive lawyer who regularly acts for both lenders and borrowers in an extensive range of lending transactions, with a particular focus and interest in acquisition financing and venture debt financing transactions.

Cheryl also has considerable expertise in a variety of debt transactions including the issuance of private bonds, structured debt and asset-backed securities.  She also advises both arrangers and issuers on bond listings, grant schemes and other debt related topics and issues.

Cheryl is dual-qualified in Singapore and New York. She graduated from the National University of Singapore in 2007, and was admitted as an Advocate and Solicitor of the Supreme Court of Singapore in 2008 and as an Attorney-at-Law in the State of New York in 2012.

EXPERIENCE

Banking & Finance

  • Acted for and continuing to act for the largest venture debt provider in the Southeast Asian region in the provision of venture loans to start-up and growth stage companies in the region.
  • Acted for Malayan Banking Berhad, Singapore Branch in relation to term loan facilities of approximately S$240 million to finance the joint acquisition of a logistics portfolio by Jingdong Property, Inc. (JDP) and Eza Hill Property Management (EZA Hill) from ESR-Logos REIT for a total consideration of approximately S$350 million including land premium. The investment comprises a portfolio of five high-quality logistics assets totalling 1.9 million square feet of GFA strategically located in the key logistics clusters in Singapore. This represents the first acquisition for both JDP and EZA Hill in Singapore.
  • Acted as counsel to the borrower (a Singapore family- owned enterprise) in connection with a S$371 million facility to finance the acquisition of shares pursuant to a court order.

Debt Capital Markets

  • Acted as Singapore deal counsel in the issuance of US$120 million Class A and US$55 million Class B catastrophe bonds by Catahoula II Re Pte. Ltd., a special purpose reinsurance vehicle, with Louisiana Citizens Property Insurance Corporation as the cedant. This is the first listing of catastrophe bonds on the Singapore Exchange Securities Trading Limited.
  • Acted as Singapore deal counsel in the issuance of US$8,625,009 Class A, US$19,625,000 Class B and US$7,000,000 Class C notes by Phoenix 2 Re Pte. Ltd., a special purpose reinsurance vehicle sponsored by MS Amlin. This is the first renewal of a Singapore domiciled insurance-linked securities structure.
