US$2.8 billion acquisition of the Tricor group by Baring Private Equity Asia from Permira
The firm is acting as Singapore counsel in the US$2.8 billion acquisition of the Tricor group by Baring Private Equity Asia from Permira. The acquisition was followed by a restructuring of Baring Private Equity Asia’s portfolio companies, Tricor and Vistra. We have been working with Ropes & Gray and various international law firms in this multi-jurisdictional transaction.
This is a cross-border deal which includes the jurisdictions of Australia, Barbados, British Virgin Islands, Cayman Islands, Hong Kong, Japan, Labuan, Malaysia, People’s Republic of China, Singapore, South Korea, United Kingdom.
We advised on the structuring of the transaction and the Singapore regulatory implications thereof, including the approval or notification requirements which might be triggered under various alternative structures.
