LearningBytes 2024: Joint Venture and Shareholder Disputes: Navigating Key Issues & Common Risks for Investors in IP-Heavy/Key Person-Reliant Companies

On 19 August 2024, Rajah & Tann organised its monthly seminar series LearningBytes 2024, with this month’s seminar titled “Joint Venture and Shareholder Disputes: Navigating Key Issues & Common Risks for Investors in IP-Heavy/Key Person-Reliant Companies”.

In today’s ever-changing business landscape and the growth of the digital and data economy, corporate transactions have increasingly involved asset-light businesses, with the bulk of their assets taking the form of intellectual property (“IP“), intangible assets (“IA“) and confidential information/know-how which commonly reside with key persons. At the seminar, the speakers explored various topics including key considerations when investing into companies with large IA and IP portfolios, and companies with key-person risks. They also tackled non-compete clauses and other employment challenges in the context of this type of investment, and provided actionable insights to enable companies to make informed decisions to protect their investments. 

The speakers comprised Jonathan Yuen, Head of the Commercial Litigation Practice and Employment (Disputes) Practice, and Partners Tng Sheng Rong and Alroy Chan from the Intellectual Property Practice and Corporate Commercial Practice, respectively.
