Chuei Ying is a Partner with the Corporate Practice Group of Christopher & Lee Ong. She graduated from the University of Melbourne in 2001 and was admitted as an Advocate & Solicitor of the High Court of Malaya in 2002.

Her areas of practice cover corporate finance, mergers and acquisitions and capital markets transactions, including initial public offerings, private placements, rights issues and other equity fund raising exercises. She is also involved in shipping and corporate and compliance matters.

EXPERIENCE

Some notable transactions which she has been involved in are as follows:

Capital Markets

  • Acted for Malaysian public listed corporations in corporate exercises involving securities issues and debt securities including rights issues, bonus issues and loan stocks.
  • Acted for Top Glove Corporation Bhd and TSH Resources Bhd in their secondary listing on the Main board of the Singapore Exchange Securities Trading Limited (“SGX-ST”) by way of Introduction on 28 June 2016 and 26 September 2023 respectively.
  • Acted as Malaysian counsel to various issuers in connection with their proposed IPO and listing on various stock exchanges such as Hong Kong Stock Exchange, SGX-ST and New York Stock Exchange.

Mergers and Acquisitions

  • Acted for local and foreign parties in mergers and acquisitions transactions of local private companies in various sectors including property, oil and gas, shipping, manufacturing, food and beverage and service industries.
  • Acted for a Malaysian public listed company in the sale of shares in its highway concessionaire for RM380 million.
  • Acted for a Malaysian public listed company in a billion Ringgit acquisition of one of the largest surgical gloves producer in the world.

Shipping

  • Acted for a foreign purchaser in the purchase of a Malaysian flagged vessel with a purchase price of USD10 million.
  • Acted for a construction and engineering company in its purchase of a vessel from an oil and gas offshore company. This matter had to take into consideration the complexities of the payment of monies due and owing by the O&G company to its creditors before the vessel could be sold, free from encumbrances.
  • Involved in the drafting and reviewing of facility and security documentation involving the cross collateralisation of 10 vessels owned by a ship owning company in favour of a multinational banking and financial services corporation.
  • Reviewed and drafted the facility and Malaysian security documentation in respect of a term loan to indirectly finance the purchase of a tanker ship, including the preparation and registration of the third-party mortgage in respect of the vessel.
