As a part of Rajah & Tann LCT Lawyers’ broader Corporate and M&A practice, Logan has acted for MNCs, start-ups, SMEs, private equity investors and venture capital funds on acquisitions, divestments and joint ventures across a broad range of industry sectors. He actively advises on cross-border deals across the Southeast Asian region.

Logan’s domain expertise lies in the technology sphere, and he is active in the firm’s Technology, Media and Telecommunications (TMT) practice. His clients have ranged from start-ups to global technology giants, where he has – in addition to corporate transactions – advised on regulatory and policy-related matters covering fields such as data protection and privacy, cybersecurity, e-commerce, telecommunications and gaming.

Technology, Media, and Telecommunications

  • Assisted multiple companies on policy-related matters (including in advocacy with industry groups), covering areas such as e-commerce, internet services, online advertising, telecommunications, cybersecurity, broadcasting, personal data protection, electronic transactions and consumer protection.
  • Assisted Vietnamese and global companies on personal data protection and privacy compliance, including gap analyses, development or localisation of policies and protocols, training, preparing and filing impact assessment dossiers, and advising on best practices under the Law on Personal Data Protection and ancillary legal instruments.
  • Led and coordinated in multijurisdictional regulatory advice for multiple MNCs with a Pan-Asian presence, cover regulatory licensing, content, cybersecurity and data privacy and protection.
  • Advised numerous e-commerce platforms and merchants, across multiple industry sectors, on market entry, regulatory compliance, and competition and consumer protection matters – including some of the region’s largest platforms/marketplaces.
  • Advised numerous FinTech companies on regulatory aspects of their business, covering areas such as platform lending, digital wallets and payment gateways, blockchain and cryptocurrencies, eKYC, InsurTech, and mobile applications.

Mergers & Acquisitions

  • Acted for Mapletree Investments in its US$215 million acquisition of Kumho Asiana Plaza Saigon from Asiana Airlines and Kumho Industrial.
  • Acted for HLT Healthcare (a joint venture between Hong Leong and TPG) in the Vietnam elements of its US$1.2 billion acquisition of Columbia Asia Healthcare, which includes two full-service hospitals and one clinic in Vietnam.
  • Acted for HP in the Vietnam elements of its US$1.05 billion global acquisition of Samsung’s printer business.
  • Acted for Mapletree Logistics Trust in multiple corporate transactions, including its S$43 million acquisition of a 66,800m2 GFA logistics facility in Vietnam-Singapore Industrial Park, Binh Duong Province and $53 million acquisition of two logistics properties in southern and northern Vietnam.
  • Acted for NakedHub in its joint venture with Gaw Capital for the rollout of its “NakedHub” branded co-working space business in Vietnam, as well as its subsequent US$400 million equity sale to WeWork.
  • Acted for China Triumph International Engineering (CTIEC) in its US$210 million joint venture with two Vietnamese state-owned companies for the development of industrial projects in northern Vietnam.
  • Acted for Rohas Tecnic Berhad in its divestment from Phu My Vinh Construction and Investment Corporation, to Korea Water Resources Corporation.
  • Acted for Givaudan in its acquisition of Vietnamese flavour house, Golden Frog.
  • Acted for a Hong Kong developer in its US$40 million sale of a land parcel and residential condominium project in Ho Chi Minh City to a Vietnamese developer.
  • Acted for ESR in its joint ventures with BW Industrial for the development of logistics and industrial facilities in Vietnam.
  • Acted for Kajima Corporation in its acquisition of Indochina Riverside Towers in Danang from the Indochina Group.

Dispute Resolution (International Arbitration)

  • Acted for a Vietnamese state-owned company as respondent in a US$3+ billion SIAC arbitration brought under an EPC contract for a thermal power plant project.
  • Acted for a Vietnamese quasi-governmental state agency as respondent in two parallel ICC arbitrations in relation to the construction of a US$500+ million highway and cross-river tunnel.
  • Acted for a Singaporean EPC contractor as claimant in an ICC arbitration in relation to the construction of aviation fuelling facilities in Tan Son Nhat International Airport.
  • Acted for a Vietnamese state-owned company as respondent in an ICC arbitration brought under a cponsirtium agreement for the construction of a bioethanol production facility.
  • Acted for a Vietnamese environmental services company as claimant in a US$100+ million SIAC arbitration brought against a state agency.
  • Acted for a European offshore drilling company as claimant in a VIAC arbitration in relation to the operation of a jack-up oil rig.
  • Acted for a European contractor in an ad hoc UNCITRAL arbitration against a Vietnamese state body concerning construction consultancy works.
  • Acted for a financial institution in a SIAC arbitration in relation to a claim for certain transaction taxes arising out of a business sale agreement.
  • Acted for a Vietnamese oil and gas company as respondent in a VIAC arbitration in relation to the sale and purchase of a US$6.5 million FPSO vessel.
