Rajah & Tann Singapore Contributes to Global M&A: Law Over Borders Comparative Guide 2026 – Singapore – Market Insights

Rajah & Tann Singapore has contributed the Singapore – Market Insights chapter to Global M&A: Law Over Borders Comparative Guide 2026 (“Guide“), published by The Global Legal Post.

Mergers and acquisitions (“M&A“) continue to play a pivotal role in shaping corporate growth, strategic transformation and competitive positioning. At the same time, the M&A landscape is evolving rapidly, influenced by heightened regulatory scrutiny, geopolitical uncertainty, technological change and the growing influence of private capital. Against this backdrop, the Guide provides a clear and comparative overview of the legal frameworks governing M&A transactions across major jurisdictions.

Authored by Partners Sandy Foo (Head, Corporate & Transactional Group), Tracy Ang (Deputy Head, Corporate & Transactional Group; Head, Mergers & Acquisitions), and Terence Quek and Hoon Chi Tern (Deputy Heads, Mergers & Acquisitions), the Singapore – Market Insights chapter of the Guide examines Singapore’s evolving role as a regional coordination and capital platform for complex cross‑border transactions. It notes that, although Singapore plays an important role in many Southeast Asian transactions, it is not the default structuring jurisdiction in a region defined by diverse legal systems, regulatory regimes and business cultures. For cross-border deals involving complex capital structures and diverse investor groups, however, Singapore is often viewed as the natural regional anchor, offering discipline and certainty in execution. The chapter further highlights that, in Southeast Asian M&A, geography alone does not determine success. The differentiator lies in how effectively capital, risk and execution are aligned, with Singapore often providing the platform through which that alignment is achieved in more complex transactions.

Overall, the chapter serves as a useful resource for practitioners and other stakeholders seeking practical insights into navigating complexity and executing cross-border M&A transactions more effectively.
