Siang Ly is a Partner in Christopher & Lee Ong’s Banking & Finance Practice Group.

Siang Ly has significant experience in advising financial institutions and corporate borrowers on a broad range of corporate loan financing matters including legal issues in relation to loan documentation, security documents, compliance matters, requirements and procedures, for both local and offshore transactions, bilateral and syndicated financing.

Apart from vast experience in corporate banking, Siang Ly advises on general corporate and commercial transactions from initial negotiation up to completion of the transaction which includes joint venture arrangement, disposal and acquisition of shares, shareholders arrangements and other commercial agreements.

  • Acted for various Malaysian lenders in relation to the loans granted by the Malaysian lenders to the borrowers to part finance the purchase of unit of commercial shoplot under the project development known as the largest gated and guarded commercial prescient with smart and connected facilities in northern region in Malaysia consisting 434 units of shop offices under the project development.
  • Acted for various Malaysian lenders in relation to the loans granted by the Malaysian lenders to the borrowers to part finance the purchase of unit of luxury condominium under the project development consists of five stunning towers that are ingeniously designed into two clusters with 1,282 units under the project development located at the northern region’s largest intelligently integrated city with comprehensive of network of infrastructure in Malaysia.
  • Acted for a Malaysian lender in relation to a bridging loan of RM 40 million to part finance the development and construction of 1,609 units of service apartments and commercial lots in Malaysia.
  • Acted for a Malaysian lender in relation to a bridging loan of RM 80 million to part finance the development and construction of 1,609 units of service apartments and commercial lots in Malaysia.
  • Acted for a Malaysian lender in relation to banking facilities of US$10 million granted to a Malaysian Company, secured by a letter of comfort of parent company listed in Korea.
  • Acted for a Malaysian lender in relation to banking facilities of term loan and revolving credit of RM 500 million granted to a Malaysian Company, secured by the corporate guarantor of Korean listed company.
  • Acted for foreign offshore lender as Malaysian counsel in relation to a banking facilities of US$12.55 million granted by the foreign offshore lender to a Malaysian company.

  • Acted for a Malaysian lender for a banking facility equivalent to RM 1.88 billion granted to an automotive company in Malaysia to part finance the expansion of its existing plant, upgrade its existing production lines and for its working capital.
Mergers & Acquisitions
  • Advised a Malaysian company in acquisition of 80% shares in Recycling business company in Johor Bahru, for RM 48 million.
  • Advised a Chinese private equity firm on its acquisition of equity stake in a supplier of high-precision, machined metal components including valves, fittings, sensors, and related components for a range of industries, headquartered in Singapore with primary operations in China and Malaysia, from an American private equity firm, for a transaction valued at approximately US$398 million (as Malaysian counsel to the purchaser).
Corporate & Commercial
  • Advised a Malaysian company in acquisition of 80% shares in Recycling business company in Johor Bahru, for RM 48 million.
  • Acted for a listed company in Malaysia for joint venture with landowner and the developer for revival of an abandon project in Klang Valley, Malaysia.
  • Advised Malaysian company in gas supply to buyer in Malaysia.
  • Advised Chinese company in a joint venture with Malaysian company to undertake development of solar power business in Malaysia.
  • Advised in joint venture cum shareholders’ agreement amongst Malaysian company, China company and Taiwanese for joint development of professional internet service provider /application / website to mothers and babies’ group.
  • Advised Malaysian developer in integrated water supply scheme agreement to be entered into amongst 11 developer companies in Malaysia.
Real Estate
  • Advised a foreign company on a master development agreement with a Malaysian company to jointly develop lands and buildings in Malaysia for total value of assets of HK$3.15 billion (approximately RM 1.62 billion).
  • Advised a Malaysian company on the bulk acquisition of 66 units of properties located in Kuala Lumpur for a total purchase price of RM 74 million.
  • Advised a Malaysian company on the bulk acquisition of 50 units of properties located in Kuala Lumpur for a total purchase price of RM 58 million.
  • Acted for an association in acquiring lands in Johor for the consideration of RM 4 million.
  • Acted for a Malaysian company in acquiring lands in Malaysia for the consideration of RM 254 million.
  • Acted for a Buddhist Association in acquiring lands in Johor for the consideration of RM 4.6 million (pro-bono).
