Equity Capital Markets

We advise issuers, issue managers, underwriters, and originators on initial public offerings and listings (including by way of reverse takeovers as well as dual listings) on the securities exchanges in Cambodia, Indonesia, Malaysia, Singapore and other recognized exchanges such as the stock exchanges of Hong Kong and Korea and NASDAQ, as well as on listings of real estate investment trusts and business trusts on the Mainboard of the SGX-ST. We also have a strong track record of listing foreign issuers, including from jurisdictions such as China, Japan, India, Indonesia, Taiwan and Australia. Our Cambodian office is one of the first few registered law firms in Cambodia licensed to advise companies seeking a listing on the Cambodia Securities Exchange

We also advise listed clients and investors on a broad range of transactions, including placements, rights issues and other secondary issues, issues of warrants, depository receipts, redeemable preference shares and convertible loan stocks, continuing listing requirements, corporate disclosure and corporate governance and capital and corporate restructuring. In addition, R&T Corporate Services Pte Ltd, is amongst the first batch of Singapore Exchange Catalist continuing sponsors for Catalist companies on the SGX-ST.

We are recognised in the field of debt capital markets as having highly creative lawyers with strong technical knowledge who can handle the full spectrum of complex and innovative debt capital market transactions. We are able to advise issuers, issue managers and underwriters, on both domestic and international offerings where we are able to tap the local expertise of our countries in Asia where Rajah & Tann has offices.

We frequently advise on foreign offerings of bonds by issuers having significant interests in the respective Asian countries, as well as exchange offers of debt instruments listed on various Stock Exchanges.
